1. Agreement to Terms

By accessing or using ProposalVault ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ProposalVault is a software-as-a-service platform that helps users manage and respond to RFPs, security questionnaires, and vendor assessments using AI-assisted answer generation.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload malicious content or malware
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use the Service for any illegal or fraudulent purpose
• Upload content that infringes on intellectual property rights
• Resell or redistribute the Service without authorization

5. Your Content

You retain ownership of all content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to process, store, and display Your Content solely for the purpose of providing the Service.

You represent that you have the necessary rights to upload Your Content and that it does not violate any third-party rights.

6. AI-Generated Content & User Responsibility

The Service uses artificial intelligence to generate suggested answers based on your uploaded documents. You acknowledge that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and verifying all AI-generated content before use
• You are responsible for reviewing and verifying all uploaded documents
• AI-generated content should not be relied upon as legal, financial, or professional advice
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• ProposalVault does not verify the accuracy of user-submitted or AI-generated content
• Actual results may vary based on the quality and relevance of uploaded source documents

7. No Professional Advice

ProposalVault is a productivity tool and does not provide legal, financial, compliance, or other professional advice. The Service is designed to help users draft responses, but:

• All content generated should be reviewed by qualified professionals before submission
• Users should consult with appropriate legal, financial, or compliance professionals for specific advice
• ProposalVault is not a substitute for professional judgment or expertise
• We make no representations about the suitability of generated content for any specific purpose

8. Data Backup Responsibility

While we implement measures to protect your data, you are responsible for maintaining your own backups of your documents and generated content. We recommend:

• Regularly exporting important documents and answers
• Keeping copies of original source documents outside of ProposalVault
• Not relying solely on ProposalVault as the only storage location for critical content

9. Subscription and Payment

Free Tier

The free tier provides limited access to the Service as described on our pricing page.

Paid Subscriptions

Paid subscriptions are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period. Refunds are available within 14 days of initial purchase.

Price Changes

We may change pricing with 30 days notice. Continued use after the notice period constitutes acceptance of the new pricing.

10. Intellectual Property

The Service, including its design, features, and content (excluding Your Content), is owned by ProposalVault and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL CONDITIONS, WARRANTIES, AND GUARANTEES WHICH ARE NOT EXPRESSLY SET OUT IN THESE TERMS.

NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR MODIFIES ANY RIGHTS OR REMEDIES YOU MAY HAVE UNDER THE AUSTRALIAN CONSUMER LAW (ACL) OR OTHER APPLICABLE LAW THAT CANNOT BE EXCLUDED. WHERE LIABILITY CANNOT BE EXCLUDED, OUR LIABILITY IS LIMITED TO THE RESUPPLY OF THE SERVICES OR THE REFUND OF FEES PAID.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPOSALVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless ProposalVault from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and the Commonwealth of Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales.
